BACKGROUND OF SOX
In late 2001, the Enron Corporation executed a wide variety of business transactions that exposed serious weaknesses in the nation’s system of checks and balances that were intended to protect the interests of shareholders. As a result of these developments, the U.S. Congress enacted and approved the Sarbanes-Oxley Act of 2002 (”SOX”) in the interest of protecting the fairness, integrity, and stability of the nation’s capital markets and to promote public confidence and trust in publicly-traded companies. With these goals in mind, the U.S. Congress also approved the creation of the Public Accounting Oversight Board (”PCAOB”) to actively and vigorously enforce all of SOX’s provisions and to monitor the activities of the auditors used by publicly-traded companies. Today, we are experiencing a new set of standards and guidelines by both the SEC, PCAOB, COSO, COBIT and others to assist public companies in complying with the complexities of SOX. In 2004, Sonia Luna, CPA – a former Manager at a Big 4 public accounting firm, recognized that publicly-traded and privately-held organizations interested in establishing efficient Internal Control systems needed a cost-effective alternative to improve the understanding and practical application of the requirements of Section 404 of the 2002 Sarbanes-Oxley Act (”SOX”). With this vision in mind, Sonia founded Sox Solutions Corporation, a boutique, client and service-focused, business advisory services consulting firm based in Los Angeles, California. In practice, Sonia’s vision of leadership materialized in the creation of a unique professional practice that is structurally supported by the attributes of two titanic guiding frameworks: COSO and CobIT, which through customization will minimize compliance efforts.
